1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the website at aionsolutions.io and the AI-powered voice dispatch platform at app.aionsolutions.io (together, the "Service"), provided by Aion Solutions LLC ("Aion Solutions," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Aion Solutions provides an AI-powered voice dispatch platform for towing and roadside-assistance companies, including automated call answering, transcription of inbound calls, dispatch notifications, and a job-tracking dashboard. We may add, change, or remove features at any time.
3. Accounts
You must provide accurate information when creating an account and are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
4. Acceptable Use
You agree not to use the Service to violate any law, infringe any third party's rights, transmit harmful or unlawful content, attempt to gain unauthorized access to the Service or other accounts, or interfere with the operation of the Service. We may suspend or terminate access for violations.
5. Customer Responsibilities and Call Recording
You are responsible for your use of the Service and for your compliance with all laws applicable to your business, including consumer-protection, telecommunications, and call-recording laws. The Service records and transcribes inbound calls. Many jurisdictions, including California, require that all parties to a call be notified that it is being recorded. You are solely responsible for providing any legally required notice or obtaining any required consent from your callers. Aion Solutions is not responsible for your failure to provide such notice or obtain such consent.
6. Fees and Payment
Fees for the Service are as agreed in your subscription or service order. Unless otherwise stated, fees are billed in advance and are non-refundable except as required by law. We may change pricing on reasonable notice.
7. Intellectual Property
The Service, including its software, design, and content, is owned by Aion Solutions and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your own business data and the data you collect from your callers.
8. Third-Party Services
The Service relies on third-party providers (including for hosting, data storage, voice processing, and scheduling). We are not responsible for the acts, omissions, or availability of third-party services.
9. Service Availability
We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, or factors outside our control. The Service is not a substitute for emergency services; callers with emergencies should contact 911 or appropriate authorities directly.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be accurate, complete, reliable, or error-free.
11. Limitation of Liability
To the fullest extent permitted by law, Aion Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, lost business, or lost or inaccurate data, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to the Service will not exceed the amount you paid us for the Service in the three (3) months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Aion Solutions from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including any claim arising from your failure to provide required call-recording notices.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 10, 11, and 12) will survive.
14. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date reflects the most recent version. Your continued use of the Service after changes take effect constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except where applicable consumer-protection law requires otherwise.
